These terms explain how you may use this website and how Flexitech works with clients. If you have a question about them, contact us using the details in section 16.

1. Who we are

Flexitech is the trading name of Flexitech LLC, a limited liability company organised in the State of Wyoming, USA. We design, build and support business software, websites, online stores, customer portals and mobile apps for small and mid-size companies. We also set up hosting in each client's name.

In these terms, "Flexitech", "we" and "us" mean Flexitech LLC. "You" means a business or organisation that asks us for a quote or works with us, and anyone who uses this website.

2. What these terms cover

These terms apply to anyone who uses this website and to every client we work with.

Your written quote and signed agreement govern the work we do for you. If the quote or agreement says something different from these terms, the quote or agreement applies.

3. Quotes and agreements

Each project, retainer and support plan starts with a written quote and a signed agreement that sets out the scope, price, timeline and payment terms.

  • After the first call, we send you a quote with a fixed price or a monthly fee.
  • The quote sets the timeline, based on the scope you approve. Larger projects are delivered in stages.
  • Nothing is binding, and no work starts, until you sign the agreement.

We work in three ways: fixed-price projects, development retainers, and support and maintenance plans. You can move between them later, for example from a project to a support plan after launch. Each new arrangement starts with its own quote and agreement.

4. Changes to the scope

If you ask for something outside the agreed scope, we quote it in writing first. We only bill for extra work you have approved. When you approve a change, we confirm its price and any effect on the timeline in writing before we begin.

5. Prices and payment

You pay for a project in stages, as each part of the work is delivered. We invoice each stage, and you pay by bank transfer.

Your agreement says which of these applies to you:

  • Fixed-price project: one agreed price, invoiced at each milestone.
  • Development retainer: a fixed monthly invoice for an agreed number of days.
  • Support and maintenance plan: a fixed monthly invoice for the cover agreed in writing.

The agreement also sets the payment due date and what happens if a payment is late.

6. Third-party costs

Third-party costs, such as hosting, domains, app store fees and software licences, are listed separately in every quote. Your quote also shows how each one is paid.

Other companies provide these services under their own terms. They set their own prices and can change them.

7. What we need from you

At the end of each stage, we show you the work so far. To keep to the agreed timeline, we need:

  • your feedback on that work, and your approval before the next stage starts
  • access to the systems, accounts and people the work depends on
  • the content you want to use, such as text, images, logos and data

You confirm that you have the right to use the content you give us, and you allow us to use it for your project. If your feedback, access or content comes later than planned, we agree any change to the timeline with you in writing.

8. Who owns the work

You own your data. You also own the source code and designs we create for you, once you have paid for them. Domains, hosting and app store accounts are set up in your company's name.

Two kinds of material in a system stay with their owners:

  • Tools and code that Flexitech made before your project, and the general skills and know-how we use on every project, stay ours. If those tools or code are part of the system we deliver, you get a licence to keep using and changing them in that system. The licence continues if another provider takes over the work. The licence terms are in your agreement.
  • Third-party and open-source components, such as frameworks and software libraries, belong to their owners. They are used under their own licences.

9. Confidentiality

We sign a non-disclosure agreement before you share sensitive details. Only the people on your project can access your data, and we return or delete it when the work ends. We keep our own business records, such as agreements and invoices, for as long as the law requires.

If your project involves personal data about your customers or staff, your agreement sets out how we handle it for you. Our Privacy policy covers personal data from this website and from enquiries.

10. Warranty and support

If something we built does not work as agreed, we fix it at no extra cost during a warranty period set in your agreement. Your agreement also lists anything the warranty does not cover.

After the warranty period, fixes and updates are covered by an optional support plan. A support plan includes security updates, backups, monitoring and response times for issues. The details of your plan are agreed in writing.

Every system comes with documentation. You can keep us on a support plan or hand the work to another provider.

11. Limits on liability

Your agreement sets out how liability is limited for your project. Unless it says otherwise, liability under an agreement is limited to add liability cap or approach.

Nothing in these terms limits any liability that cannot be limited under the law that applies.

12. Ending an agreement

Unless your agreement says otherwise, either side can end a development retainer or support plan by giving add notice period written notice.

Your agreement sets out how a fixed-price project can be ended early. If a project ends early, you pay for the work completed up to the end date, and that work is yours once paid.

Either side can end an agreement if the other seriously breaks it and does not put it right within add number of days of written notice.

When an agreement ends, we hand over the documentation and the work you have paid for, and we return or delete your data.

13. Using this website

This website describes our services and how we work in general terms. The price, scope and timeline for your project are set only in your quote and agreement.

14. Changes to these terms

We may update these terms. The date at the top of this page shows when they last changed. An update does not change an agreement you have already signed. A signed agreement changes only when both sides agree in writing.

15. Governing law
